Summary
This agreement governs the wholesale relationship between elev8 Labs and approved partner laboratories. Wholesale access is unlocked per account — there is no annual minimum commitment. Partners purchase whole units of any SKU at the approved wholesale rate, pay upfront, and preserve lot-level traceability for every unit received. Net terms are not offered.
1. Who qualifies as a wholesale partner
We approve wholesale accounts for the following entity types only:
- Licensed analytical or research laboratories operating in the United States.
- Academic institutions with a registered research program.
- Contract research organizations (CROs) with a public research remit.
- Government research facilities.
Resellers, consumer-facing retailers, compounding pharmacies operating in consumer channels, and unlicensed distributors are not eligible.
2. Application and verification
To apply, submit the wholesale application at /wholesale. Your application must include:
- Legal entity name, registered address, and EIN or equivalent tax identifier.
- A named point of contact (name, role, business email).
- Documentation verifying your eligibility category (lab license, academic affiliation, CRO registration, or government entity).
We verify every application. Verification typically completes within 5 business days. We may request additional documentation, reject an application at our discretion, or withdraw approval at any time if our ongoing diligence finds a material change in your status.
3. Account requirement and whole-unit purchasing
Wholesale pricing is available only to approved wholesale accounts. You cannot access wholesale pricing as a guest. To purchase at wholesale:
- Submit a wholesale application at /wholesale.
- Clear verification (Section 2) — upon approval, your account is flagged as a Secured Wholesaler.
- Sign in to your Secured Wholesaler account before adding items to your cart. Wholesale rates only appear when signed in under an approved account.
No annual minimum commitment applies. You do not commit to a spend target, a standing order, or a calendar-year volume. Wholesale pricing is extended per order, on every approved account, for as long as the account remains in good standing.
Whole-unit purchasing. Wholesale pricing applies to whole units of a SKU — the packaged quantity as listed in the catalog. We do not split units, blend lots across a single unit, or price partial quantities at wholesale. If you want a smaller quantity than one catalog unit, purchase at retail pricing.
Place as many orders as your research program needs. The wholesale rate applies to every qualifying order on an approved account.
4. Pricing and payment terms
Upfront payment only. We do not offer net-30, net-60, or any deferred-payment terms at launch. Every wholesale purchase order is paid in full before the lot is reserved and shipped.
Accepted payment methods:
- Commercial card through our payment gateway.
- ACH or wire transfer (for orders over a partner-specific threshold, agreed during onboarding).
- Zelle or Cash App for qualifying partners, with reference-code reconciliation.
Purchase-order-based invoicing without upfront payment is available only upon written exception by elev8 Labs management; such exceptions are rare and reviewed per engagement.
5. Pricing confidentiality
Negotiated wholesale pricing is confidential. You agree not to disclose your negotiated pricing or discount structure to third parties, including resellers, competing labs, or public forums. Breach of this confidentiality may result in immediate termination of the wholesale relationship and a return to retail pricing on any pending orders.
6. Lot reservations and lead times
For forecasted volume commitments, we can reserve specific lot allocations. Reservations require:
- A signed reservation request naming the SKU, quantity, target ship window, and lot preference where applicable.
- Upfront payment for the reserved quantity, in line with Section 4.
Lead times for reserved lots are quoted at the time of reservation and depend on current inventory, QC queue, and manufacturer schedules. We will communicate any slippage as soon as we are aware.
7. COA and traceability obligations
Every unit shipped under a wholesale purchase order includes its lot-level certificate of analysis. Wholesale partners agree to:
- Preserve the lot COA with each unit in their internal inventory system.
- Maintain a record of downstream use or transfer for a period of 3 years from the date of shipment, subject to institutional retention requirements.
- Cooperate with any recall, lot-level correction, or safety notice we issue.
We may audit lot-level records for partners flagged during quality or compliance review. Audits are scheduled with reasonable notice.
8. Research-use scope
Wholesale products are reference standards for laboratory research only. Wholesale partners agree not to:
- Resell or transfer product into consumer channels.
- Repackage product for human or veterinary use.
- Make efficacy, therapeutic, or medical claims about any product in downstream marketing.
A breach of this section is grounds for immediate termination and return of unopened inventory at the partner's cost.
9. Non-transferability
The wholesale account is non-transferable. If your entity changes ownership, merges, or spins out a research unit, notify us within 30 days. We will evaluate continuation of the account under the successor entity.
10. Termination
We may terminate the wholesale relationship or revoke Secured Wholesaler status for:
- Breach of pricing confidentiality (Section 5) or research-use scope (Section 8).
- Change in entity status that disqualifies you under Section 1.
- Non-payment, chargeback disputes, or repeated payment failures.
- Material misrepresentation during the application or verification process.
Either party may terminate the relationship for convenience with 30 days' written notice. Existing paid orders will be honored through delivery.
11. Limitation of liability
Our total liability to a wholesale partner for any claim arising from this agreement is limited to the total amount paid for the specific purchase order that gave rise to the claim. We are not liable for indirect, consequential, incidental, special, or punitive damages, or for lost research data or lost institutional funding, even if we were advised of the possibility.
12. Indemnification
You agree to indemnify and hold harmless elev8 Labs, its officers, employees, and affiliates from any claim, loss, or expense arising from your violation of Section 8 (research-use scope), your misrepresentation of institutional status, or your breach of confidentiality under Section 5.
13. Governing law and dispute resolution
This agreement is governed by the laws of the State of Delaware, without regard to its conflict-of-laws principles. Any dispute arising from or related to this agreement is subject to the exclusive jurisdiction of the state and federal courts located in the State of Delaware. Both parties consent to personal jurisdiction in those courts. Either party may seek injunctive or equitable relief in a court of competent jurisdiction to protect intellectual property, trade secrets, or confidential information.
14. Relationship to other policies
This agreement operates alongside our Terms of Service, Privacy Policy, Shipping Policy, Refund Policy, and Research Use Disclaimer. Where a direct conflict exists between this agreement and those policies, this agreement controls for the wholesale relationship.
15. Updates to this agreement
We may update this agreement from time to time. Material changes to pricing, minimum commitments, or termination rights will be communicated to active wholesale partners by email at least 30 days before they take effect. Continued purchasing after an effective date constitutes acceptance of the revised agreement.
